For over 150 years Companies House never checked whether a director was a real person. You could register a UK company in almost any name, and thousands of companies were set up with fictitious or stolen identities. The Economic Crime and Corporate Transparency Act changed that: directors and people with significant control must now verify their identity, directly or through an authorised agent. What is director identity verification?

Under the Economic Crime and Corporate Transparency Act (ECCTA), Companies House now requires company directors and people with significant control to prove their identity — normally with a passport or driving licence. It can be done directly with Companies House, or through an Authorised Corporate Service Provider (ACSP) such as an accountant or solicitor.

Why does it matter for due diligence?

Before these rules, nobody checked whether a named director existed. A verified director means a real person has proved who they are. It does not make a company trustworthy on its own, but it removes one of the easiest ways to hide behind a UK company.

What does “not on record” mean?

It means Companies House is not currently showing a completed identity verification for that officer. There can be innocent reasons, including timing. Treat it as a question to ask rather than a conclusion — and read it alongside the company’s filings and history.
